1The agreement

These Terms and Conditions (the “Terms”) are a legally binding agreement between you and Storeboard LLC (“Storeboard Search,” “we,” “us” or “our”) covering your use of StoreboardSearch.com and our related websites, emails and services (the “Services”). They apply whether you visit as a guest, a member or a business. Our Privacy Policy and Posting Guidelines are part of these Terms.

We may update these Terms from time to time. When we do, we will change the “Last updated” date above, and for significant changes we will give additional notice, such as on the site or by email. Changes apply from the date they are posted. If you keep using the Services after a change, you accept the updated Terms. If you don’t agree, please stop using the Services.

2Eligibility & your account

Use of the Services is void where prohibited. By using the Services, you confirm that:

  • You are at least 14 years old, and if you are under the age of majority where you live, you have your parent or guardian’s permission.
  • The information you give us, including your name, is real, accurate and kept up to date.
  • Your account is for your own use or for a business you are authorized to represent.
  • You will not use the Services for anything unlawful, misleading or malicious.

You are responsible for keeping your password confidential and for all activity on your account. Tell us right away at [email protected] if you suspect anyone has used your account without permission.

3Business listings & profiles

Some business listings on Storeboard Search are created from publicly available information. If you own or are authorized to represent a business, you can claim its listing and keep it accurate. You may only claim or manage a business you are authorized to represent.

We want your business to look its best. We may edit a profile to fix errors, improve formatting or categorization, or add an appropriate image if you haven’t uploaded one. You can change or undo our edits at any time from your profile settings — and if you don’t like something we did, just let us know.

4Your content

You keep ownership of the text, photos, videos, audio and other content you post (“Content”). By posting Content, you give Storeboard LLC a non-exclusive, worldwide, royalty-free license to host, use, modify (for example, resize or reformat), display, reproduce and distribute it in order to operate, provide and promote the Services. This license ends when you remove the Content or your account, except for copies already shared by others or kept in backups for a limited time. We will not sell your Content or distribute it outside the Services without your permission.

You promise that:

  • You own your Content or have the right to grant this license; and
  • Posting it does not violate anyone’s privacy, publicity, copyright, trademark, contract or other rights.

Your public profile and Content can be seen by anyone and may appear in search engines. You are responsible for what you post. We may remove any Content that we believe violates these Terms or our Posting Guidelines, or that is offensive, illegal or harmful to anyone. We are not obligated to monitor Content, and we do not endorse Content posted by members.

5Acceptable use

You agree to follow our Posting Guidelines. In particular, you will not:

  • Post false, misleading, illegal, hateful, sexual or infringing content.
  • Harass, threaten, intimidate or impersonate anyone.
  • Send spam or unsolicited bulk messages to other members.
  • Upload viruses or malicious code, or try to break, overload or gain unauthorized access to the Services.
  • Scrape, crawl or copy the Services or members’ information by automated means without our written permission.
  • Create fake accounts, duplicate listings or fake reviews, or sell or transfer your account.

6Fees & payments

  • Many features are free. Premium packages, subscriptions and other paid features are described, with their price, billing period and renewal terms, at the time you buy them. We may add, change or end fees for features in the future, and we don’t guarantee that any feature will stay free.
  • Payments are handled by our payment processors (such as Stripe and PayPal). You authorize us and them to charge your chosen payment method for the purchases you make.
  • Refunds and cancellations are covered by our Return & Refund Policy. For billing questions or to request a refund, contact us. Accounts removed for violating these Terms or our Posting Guidelines are not entitled to a refund.
  • If you use the Services on a mobile device, your carrier’s normal rates and fees (including for text messages and data) still apply.

7Our intellectual property

The Services, including the Storeboard Search name, logos, design, software and content we create, are owned by Storeboard LLC and protected by copyright, trademark, patent, trade secret and other laws. We give you a limited, personal, revocable license to use the Services as intended under these Terms. You may not copy, modify, distribute or sell any part of the Services without our written permission.

8Copyright (DMCA) policy

You may not post copyrighted material, trademarks or other proprietary information without the owner’s prior written consent. We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512 (“DMCA”). If we are notified of infringement, or otherwise become aware of facts from which infringement is apparent, we will act expeditiously to remove or disable access to the Content. Where the DMCA conflicts with this policy, the DMCA controls.

Designated Agent

Philip A. Nicolosi Phil Nicolosi Law, P.C.
7210 E. State Street, Suite 208, Rockford, IL 61108
Phone: (815) 314-0022
Email: [email protected] — subject line: “Notice of Infringement”

Filing an infringement notice

If you are a copyright owner, or authorized to act for one, and believe Content on the Services infringes your copyright, send our Designated Agent a written notice that includes:

  1. A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
  2. A description of the copyrighted work you claim has been infringed;
  3. A description of where the allegedly infringing Content appears on the Services, including URLs;
  4. Your address, telephone number and email address;
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and
  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Counter-notification

If your Content was removed and you believe it was a mistake or misidentification, you may send our Designated Agent a counter-notice under DMCA §§ 512(g)(2) and (3) that includes:

  1. Identification of the Content that was removed or disabled, and where it appeared before removal;
  2. A statement, under penalty of perjury, that you have a good-faith belief the Content was removed or disabled as a result of mistake or misidentification;
  3. Your name, address, telephone number and, if available, email address;
  4. A statement that you consent to the jurisdiction of the Federal District Court for the judicial district where your address is located (or, if outside the United States, any judicial district in which we may be found), and that you will accept service of process from the person who sent the original notice or their agent; and
  5. Your physical or electronic signature.

After receiving a valid counter-notice, we may restore the Content in not less than 10 nor more than 14 business days, unless the complaining party notifies us that it has filed a court action to restrain the activity.

Repeat infringers, false notices and our role

  • We will terminate, in appropriate circumstances, the accounts of members who repeatedly infringe. If you believe a member is a repeat infringer, contact our Designated Agent with enough information for us to verify it.
  • Any notice or counter-notice containing false or materially misleading information forfeits any rights under this policy and may expose the sender to liability under 17 U.S.C. § 512(f).
  • We are not responsible for deciding the merits of infringement claims. We act as a “service provider” under the DMCA and follow only the procedures described here.

9Trademark complaints

If you believe Content on the Services infringes your trademark or service mark, send our Designated Agent the same information listed for a copyright notice, with the details relating to the mark instead.

If we receive a cease-and-desist letter or other demand alleging that your Content violates someone’s trademark or service mark rights, we may remove or disable access to it until either (a) the sender confirms in writing that the demand is withdrawn or resolved, or (b) you provide evidence that, in our sole judgment, sufficiently rebuts the claim. A rebuttal must include the information required for a counter-notice (relating to the mark) and your binding agreement to indemnify, defend and hold us harmless from any damages, costs or expenses arising from the disputed Content or our restoring it.

You agree that we have no obligation to restore Content even if you provide a rebuttal; that you waive any claim against us arising from our removal of, or disabling access to, Content in response to such a demand (including claims for lost revenue or profits); and that the DMCA procedures apply only to copyrights, so this trademark process does not impose on us any obligations under the DMCA.

10Members & third parties

You are solely responsible for your interactions with other members and with businesses you find on Storeboard Search, including any purchases, quotes, services or reviews. We are not a party to those transactions and do not guarantee the quality, safety, licensing or legality of any business, product or service listed. We may, but are not required to, help with disputes between members.

The Services include links to third-party websites, ads and services that we do not control. We are not responsible for their content, products or privacy practices.

11Termination

These Terms stay in effect while you use the Services. You may close your account at any time by contacting us. We may remove Content, or suspend, restrict or terminate your account or access to the Services, at any time, for any reason, with or without notice — including for violating these Terms or our Posting Guidelines. Sections that by their nature should survive termination (such as your license grants for content already shared, our intellectual property, the disclaimer, limitation of liability, indemnification and governing law) will survive.

12Disclaimer

13Limitation of liability

Some jurisdictions do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you.

14Indemnification

You agree to defend, indemnify and hold harmless Storeboard LLC and its owners, employees and agents from any claims, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of your Content, your use of the Services, or your violation of these Terms or anyone’s rights.

15Governing law & disputes

Any dispute involving Storeboard Search shall be governed by the laws of the State of California, USA, without regard to its conflict-of-law provisions. You agree to the exclusive personal jurisdiction and venue of the state and federal courts of the United States located in the State of New Jersey.

16General

  • Entire agreement — these Terms, together with our Privacy Policy and Posting Guidelines, are the entire agreement between you and us about the Services.
  • Severability — if any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver — our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment — you may not transfer these Terms or your account without our consent. We may assign them, for example as part of a merger or sale of assets.
